2018 Proposed DAAR Bylaw Changes

Bylaw Change Announcement

As per your bylaws, we must inform you of proposed changes 30 days before the vote.  Your 30 day notice began on May 14, 2018. Please read the proposed changes as members will be asked to vote on them at the June 13th quarterly meeting.

DAAR Bylaw Changes Summary 2018:

The following are RECOMMENDED changes by the DAAR Board of Directors to be voted on by the general membership:

Article XI- Officers and Directors
Section 6 (b)

*(Original Wording) Section 6 (b)
The election of Directors shall be by ballot and all votes shall be cast in person, by fax, by email, or other electronic voting methods with proof of sender’s identification. The ballot shall contain the names of all candidates. The election shall be held at a meeting of the general membership of the Association in August. Officers shall begin serving their respective terms October 1

**(Proposed Revised Wording) Section 6 (b)
The election of directors shall take place at a quarterly membership meeting or where permitted by state law, and in accordance with applicable state requirements, by electronic means, in accordance with procedures established by the board of directors.

Rationale-  Language updated to reflect current membership meeting structure and generalization of modern technology voting methods.


Article XI- Officers and Directors
Section 6(c)

*(Original Wording)  Section 6(c)
The President, with the approval of the Board of Directors, shall appoint an Election Committee of three REALTOR® Members to conduct the election. Elections shall be by majority vote of a quorum. In the case of a tie vote, the members present at the regular August Association meeting shall vote by ballot and a majority vote of those present shall break the tie.

**(Proposed Revised Wording) Section 6(c)
The President, with the approval of the Board of Directors, shall appoint an Election Committee of three REALTOR® Members to conduct the election.  Elections shall be by majority vote of a quorum.    In the case of a tie vote, the issue shall be determined by lot.

Rationale– simplifying tie vote determinations. “Determined by Lot” is defined as drawing straws, or:

Per www.dictionary.com –  one of a set of objects, as straws or pebbles, drawn or thrown from a container to decide a question or choice by chance. 2. the casting or drawing of such objects as a method of deciding something.


Article XIII- Committees
Section 1

*(Original Wording) Section 1

Section 1. Standing Committees. The President shall appoint from among the REALTOR® Members, subject to confirmation by the Board of Directors, the following standing committees. The committee terms shall run concurrently with the term of the Officers and shall be October 1 through September 30.

  • Building/Audit/Finance
  • Community Service Committee
  • Housing Opportunity Committee
  • Legislative Committee
  • Member Resources Committee

*Appointments to the Grievance Committee shall be consistent with the cooperative professional standards enforcement agreement of the Association.

**(Proposed Revised Wording) Section 1
Section 1.  Standing Committees.  The President shall appoint from among the REALTOR® Members, subject to confirmation by the Board of Directors, the following standing committees.  The committee terms shall run concurrently with the term of the Officers.

  • Building/Audit/Finance
  • Community Service Committee
  • Government Affairs Committee
  • Technology & Communications Committee
  • Education Committee

Rationale- Updated to reflect current active committees, and committee name changes. Also, DAAR no longer has a grievance committee due to the Professional Standards agreement with CAR, so language was removed.


Article XIV- Fiscal and Elective Year
Section 1

Section 1. The elective year of the Association shall be October 1 through September 30.

**(Proposed Revised Wording) Section 1
Section 1.  
The elective year of the Association shall be December 1 through November 30.

Rationale- Updated to align with CAR and NAR’s elective years. This does NOT affect our fiscal year or budgeting process, nor does it affect elections. It does however, eliminate confusion regarding board leadership travel and Presidential term years. Board elections will continue to take place in August.


Article XVI- Amendments
Section 1

Section 1. Majority Vote. These Bylaws may be amended by the majority vote of the Members present or vote being made by signed FAX or email ballot with confirmation of sender’s identification, and qualified to vote at any meeting at which a quorum is present, provided the substance of such proposed amendment or amendments shall be plainly stated in the call for the meeting, except that the Board of Directors may, at any regular or special meeting of the Board of Directors at which a quorum is present, approve amendments to the Bylaws which are mandated by NATIONAL ASSOCIATION OF REALTORS® policy.

**(Proposed Revised Wording) Section 1
